These Personal Terms govern your access to and use of any Simulation purchased or received from Simulations℠. By completing a purchase, accepting a gift, or entering an access code, you agree to these Terms. If you do not agree, do not access the Simulation.
01 · Definitions
"Simulations℠" means PLGRM PTY LTD (ACN 601 621 863), a company incorporated in Victoria, Australia, being the entity offering the Simulation, or any successor entity holding the rights at the relevant time.
"Simulation" means the audio recording, written context, and associated experience offered under the Simulations℠ catalogue, including Pastlife and any future release.
"Holder" means you, the individual to whom an access code has been issued, whether by purchase, gift, or other authorised means.
"Private setting" means a domestic residence, a personal vehicle, or a comparable private space in which the Simulation is not accessible to the general public and no fee, donation, ticket, membership, registration, or commercial consideration of any kind is required to be present.
02 · Grant of Personal Licence
Subject to your compliance with these Terms, Simulations℠ grants you a perpetual, non-exclusive, non-transferable, non-sublicensable, royalty-free licence to access and listen to the Simulation, solely for your private and personal use, alone or in the company of members of your household or invited personal guests in a private setting.
03 · Prohibited Uses
You shall not, and shall not permit any third party to:
- Public Performance. Play, broadcast, transmit, stream, or otherwise communicate the Simulation in any setting that is not a private setting, including but not limited to corporate events, conferences, retreats, workshops, classes, festivals, exhibitions, religious gatherings, schools, healthcare facilities, wellness studios, gyms, hotels, restaurants, bars, retail venues, public transport, or any commercial premises.
- Commercial Use. Use the Simulation in connection with any product, service, program, course, treatment, therapy, coaching engagement, or experience offered to third parties for fee, donation, membership, subscription, or any other commercial consideration.
- Programmatic Incorporation. Incorporate, embed, schedule, or include the Simulation as a component of any structured program, curriculum, syllabus, retreat schedule, or recurring offering.
- Reproduction & Redistribution. Copy, record, download (except as expressly permitted), screen-capture, transcribe, share, distribute, upload, post, transmit, sell, license, sublicense, lease, rent, or make available the Simulation or any part of it.
- Derivative Works. Modify, edit, remix, mash up, translate, transcribe, dub, sample, or create any derivative work based on the Simulation, except with the prior express written permission of Simulations℠. Collaboration enquiries: /contact.
- Circumvention & Reverse Engineering. Decompile, disassemble, reverse-engineer, decrypt, defeat, or attempt to circumvent any access control, watermark, fingerprint, or rights-management technology applied to the Simulation.
- AI Training. Use the Simulation, in whole or in part, as training data for any machine learning model, large language model, voice model, or generative system.
If you wish to use a Simulation for any purpose outside the scope of this Personal Licence — including any of the above — an Institutional Licence is required. See /licensing.
04 · Liquidated Damages
You acknowledge that any unauthorised Public Performance, Commercial Use, or Programmatic Incorporation of the Simulation will cause substantial harm to Simulations℠ that is inherently difficult to quantify. In the event of any such violation, you agree to pay Simulations℠, as liquidated damages and not as a penalty:
- USD 25,000 per occurrence of Public Performance, plus
- USD 10 per individual to whom the Simulation was communicated, plus
- In the case of Commercial Use, an amount equal to 100% of the gross revenues earned by you from the activity in which the Simulation was used.
You agree that these amounts are a reasonable pre-estimate of likely damages and are not punitive in nature. You further agree to pay Simulations℠'s costs of enforcement, including reasonable legal fees.
05 · Revocation
Simulations℠ may, at its sole discretion and without refund, suspend or terminate your Personal Licence and revoke all access codes associated with your account upon your material breach of these Terms.
06 · Retroactive Institutional Licence
In addition to liquidated damages and other remedies, Simulations℠ may require you to purchase a retroactive Institutional Licence at then-current rates plus 50%, covering the period and scope of the unauthorised use. Acceptance of the retroactive Institutional Licence does not waive Simulations℠'s right to other remedies.
07 · Audit Right
Where Simulations℠ has a reasonable, good-faith belief that you have violated these Terms in a Commercial or Programmatic context, Simulations℠ may, upon thirty (30) days' written notice, require you to produce records reasonably evidencing the manner in which the Simulation was used during the prior twelve (12) months. You shall cooperate in good faith with such requests.
08 · Indemnification
You shall indemnify, defend, and hold harmless Simulations℠ from and against any third-party claim, demand, loss, damage, or expense (including reasonable legal fees) arising out of or related to your breach of these Terms.
09 · Assignment
Simulations℠ may assign these Terms, in whole or in part, to any successor entity, parent, subsidiary, or affiliate, or to any third party in connection with a sale, merger, reorganisation, or restructure of the business or its intellectual property assets. No further consent from you is required. You may not assign these Terms.
10 · Continuity of Rights
These Terms continue to govern the licence granted to you notwithstanding any change in the corporate entity holding the underlying intellectual property. References to "Simulations℠" or "Licensor" shall be read to mean the entity holding the rights at the relevant time.
11 · Governing Law and Venue
These Terms are governed by the laws of Victoria, Australia, and the federal laws of Australia applicable therein. Disputes shall be resolved exclusively in the courts of Victoria, except that Simulations℠ may, at its sole discretion, bring an action against you in the courts of your place of residence or business.
12 · Changes to These Terms
Simulations℠ may update these Terms from time to time. The current version is always available at simulations.so/policies/terms-of-service, with the effective date noted at the top of the page. Continued use of the Simulation after a Terms update constitutes acceptance of the updated Terms. Material changes will be notified by email to the address associated with your account.
